Catalog Partner Program Terms

1. Overview
The Catalog Partner Program lets authors and subject-matter experts (“Partners”) publish a branded catalog of learning content on the Diamond Tree platform at diamondtree.org (the “Service”), operated by Diamond Tree LLC (“we,” “us,” or “our”), and earn a share of the revenue their catalog brings to the Service.
These terms state the framework that applies to every Partner. Your individual partner agreement with Diamond Tree LLC states the commercial terms specific to you, most importantly your revenue-share percentage, and incorporates these terms by reference. If your individual agreement conflicts with this page, your individual agreement controls. Your use of the Service itself remains governed by our Terms of Service and Privacy Policy.
2. Enrollment
Participation is by invitation or by written acceptance from Diamond Tree LLC; there is no self-serve enrollment. To participate you must have a Diamond Tree account in good standing and sign an individual partner agreement. We may decline or discontinue any partnership at our discretion.
3. Your Catalog & Your Content
- Your catalog is a branded page on our domain (at
diamondtree.org/a/<your-catalog>) presenting learning modules built from your material. Catalogs are typically built with AI assistance from material you provide, and you review and control what your catalog contains before and after it is published. - You represent and warrant that you own or have the necessary rights to all material you provide for your catalog (including book excerpts, frameworks, images, and biographical material), and that it does not infringe any third party’s rights.
- You retain ownership of your underlying material. The license terms in Section 5 of our Terms of Service apply, including the “Public Catalogs & Copying” provisions: users of the Service may access your published catalog content and copy it into their own workspaces, and copies made while your catalog was published survive its later unpublication.
- We decide whether and when a catalog page is submitted to search engines for indexing. Publication and indexing are separate: publishing your catalog makes it reachable by link; indexing is at our discretion.
4. How Customers Are Attributed to You
Your revenue share is calculated on customers attributed to your catalog. Attribution works as follows:
- A user is attributed to your catalog the first time they take or copy content from it. Attribution applies to new customers only: a user who already has a paid relationship with Diamond Tree when they first engage with your catalog is not attributed to you.
- Attribution is first-touch and exclusive: a user is attributed to at most one partner at a time, based on the first catalog they engaged with. Copying content is a stronger signal than merely accessing it, and can upgrade an access-based attribution, but one partner’s attribution does not displace another’s.
- An attribution lapses twelve (12) months after it is made if the user has not become a paying customer by then.
- Attribution is determined by our systems and records, which are the authoritative source for calculating your revenue share.
5. Revenue Share & Payouts
- Rate. Your revenue-share percentage is stated in your individual partner agreement.
- Basis. Your share is calculated on subscription revenue we actually collect from customers attributed to you (successful, non-refunded payments). Refunded or charged-back payments do not earn a share.
- Hold period. Each payment becomes payable to you thirty (30) days after we collect it, so refunds and chargebacks can resolve first.
- Minimum payout. Balances under $20 roll over to the next payout rather than being sent.
- Tax forms. Before your first payout we will ask you to complete the applicable tax form (Form W-9 for U.S. persons, Form W-8BEN otherwise). We cannot send payments until we have it. You are responsible for any taxes on amounts we pay you.
- Method. Payouts are sent by a mutually agreed method (such as PayPal or Wise) and recorded in our payout ledger.
6. Audience Data & Your Obligations
Your partner console shows you who is engaging with your catalog: the name and email address of signed-in users who take or copy your content, engagement activity on your catalog, and your earnings. Visitors are told this on the catalog page itself, and it is disclosed in our Privacy Policy. In exchange, you agree to:
- Use this information only in connection with your own audience relationship (for example, following up with readers who engaged with your material).
- Comply with all applicable laws when contacting these people, including anti-spam laws (such as CAN-SPAM) and privacy laws, and honor any request from them to stop.
- Never sell, rent, or share this information with third parties, and delete it on request from us or from the individual.
7. Termination
- Either party may end the partnership as provided in your individual agreement. We may also unpublish a catalog immediately if it violates these terms, our Terms of Service, or applicable law.
- When the partnership ends, your catalog is unpublished and its URL stops resolving. Copies of your content that users made while the catalog was published remain in those users’ workspaces.
- Revenue-share accrual stops on the end date: payments we collect after that date do not earn a share, including payments from customers attributed to you. Amounts earned on payments collected before the end date remain owed to you, and are paid out after the standard hold period (termination stops accrual; it does not confiscate what was already earned).
8. Relationship, Changes & Contact
You are an independent contractor. Nothing in this program creates an employment, agency, joint-venture, or exclusive relationship, and neither party may bind the other. You may describe yourself as a “Diamond Tree partner” but may not imply that Diamond Tree LLC endorses claims made in your own marketing.
We may update these program terms from time to time. Material changes will be communicated to active Partners with reasonable advance notice, and do not retroactively change amounts already earned.
